You agree not to use the Website in any way that breaches any applicable law, infringes the rights of others, or interferes with the operation, security, or availability of the Website. We may suspend or restrict access to the Website at any time without notice for maintenance, security, or other operational reasons.
The specific scope, fees, timelines, and payment schedule for any engagement are set out in the applicable Proposal. Where there is a conflict between a signed Proposal and these Terms, the Proposal governs for that engagement. Work outside the agreed scope ("change requests") may require a revised Proposal and additional fees before it is carried out.
You agree to provide timely access to the information, content, credentials, approvals, and feedback we reasonably need to deliver the Services. You are responsible for ensuring that any materials you supply to us do not infringe the rights of any third party. Delays caused by late or incomplete input may affect timelines and costs.
Upon full payment of all applicable fees, ownership of the final Deliverables produced specifically for you transfers to you, except for: (a) third-party materials, which remain subject to their own licenses; and (b) our pre-existing tools, frameworks, libraries, and know-how, which remain our property and for which you receive a non-exclusive license to use as part of the Deliverables. Until full payment is received, all Deliverables remain our property. We may display non-confidential work in our portfolio and marketing unless agreed otherwise in writing.
The Website and our Deliverables may reference or integrate third-party products and services. We do not control and are not responsible for the content, policies, availability, or practices of any third party. Your use of third-party services is governed by their terms.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement and to use it only for the purpose of performing or receiving the Services. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
We will perform the Services with reasonable skill and care and in a professional manner. Except as expressly stated in a Proposal, the Website and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.
To the maximum extent permitted by law, IT Company USA will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Website or the Services. Our total aggregate liability for any claim arising out of an engagement will not exceed the total fees paid by you to us for that engagement in the three months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless IT Company USA and its team from any claims, damages, liabilities, and expenses arising from your breach of these Terms, your misuse of the Website or Deliverables, or any content or materials you provided to us.
Either party may terminate an engagement for material breach that remains uncured 14 days after written notice. On termination, you agree to pay for all Services performed and costs incurred up to the termination date. Sections relating to payment, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Website or Services after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the United States and the state in which IT Company USA is established, without regard to conflict-of-law principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising out of these Terms.
